Directors

Directors are the members of a Board of Directors. Directors can be individuals or other Corporate Bodies. The Directors are responsible for the day-to-day operational control of a Company and are accountable to the Shareholders of the Company. The Directors owe a Fiduciary Duty of care to the Shareholders.

Directors can be owners, managers, or any other individual elected by the Shareholders of the Company.

Directors who are owners and/or managers are sometimes referred to as owner directors. Directors who are managers are sometimes referred to as executive directors. Directors who are not owners or managers are sometimes referred to as non-executive Directors.
