Minutes

Minutes are the instant written record of any meeting of the Directors or Shareholders.

They often give an overview of the structure of the meeting, starting with a list of those present, a statement of the various issues before the participants, and each of their responses thereto.

It is important for the minutes to be brief and concentrate on material issues rather than being a verbatim report. The minutes of the Board of Directors must be kept (in the minute book) and are important legal documents. Also, it is important to keep minutes of Annual General Meetings and Extraordinary General Meetings of the Shareholders.
