A Company is effectively a separate legal entity in its own right and is formed by registration at Companies House.
A Company is owned by the Shareholders and is run by the Directors. The Company Secretary is responsible for making sure that the Company's statutory record is kept up to date at Companies House.
On formation of the company, the Registrar of Companies issues a Certificate of Incorporation which is conclusive proof that the company exists and has been formed in accordance with the Companies Act 2006.
